TEN31 Terms of Service Clause: Service Fees

TEN31 operates on a usage-based pricing model. By accessing or using the Platform, you (“Tenant,” “you,” or “your”) agree to the following fee structure and terms:

1. Transaction-Based Fee

TEN31 charges a service fee of [X%] on the total gross value of each billed session transaction processed through the Platform. This includes appointments marked as Show, No-Show (where a fee is charged), or Cancellation (where a fee is charged). All fees are calculated before any refunds, chargebacks, or adjustments unless otherwise stated.

2. Monthly Cap / Pricing Model

There is no fixed monthly subscription fee unless otherwise agreed in writing. Fees are strictly usage-based. TEN31 does not guarantee that its pricing will remain below that of any competitor or industry benchmark.

3. Billing & Collection

Service fees are calculated at the end of each billing cycle and invoiced to the designated Tenant Manager. Payment is due within [X] days of the invoice date unless otherwise specified.

Where payment processing or payment integration is enabled, TEN31 reserves the right to automatically deduct applicable service fees from collected session payments prior to disbursement.

4. Taxes

All fees are exclusive of applicable taxes, including but not limited to GST/HST, sales tax, or other governmental charges. You are responsible for paying all applicable taxes associated with your use of the Platform, except for taxes based on TEN31’s net income.

5. Transparency & Reporting

A detailed breakdown of transactions, revenue, service fees, and totals will be made available through the Tenant Dashboard. You are solely responsible for reviewing, verifying, and reconciling all billing statements and invoices. Any billing disputes must be submitted in writing within [X] days of the invoice date, after which invoices will be deemed accepted.

6. Refunds & Chargebacks

Service fees are non-refundable, including in cases of patient refunds, cancellations, or chargebacks, unless otherwise required by applicable law.

TEN31 is not responsible for losses arising from chargebacks or disputed payments.

7. Non-Payment & Suspension

Failure to remit payment for invoiced service fees by the due date may result in:

(a) suspension or restriction of access to the Platform;

(b) withholding of payouts; and/or

TEN31 reserves the right to charge interest on overdue amounts at a rate of [X% per month] (or the maximum permitted by law, if lower).

8. Changes to Fees

TEN31 reserves the right to modify its service fee percentage or pricing structure upon 30 days’ written notice to Tenant Managers. Continued use of the Platform after such notice constitutes acceptance of the updated fees.

9. Third-Party Fees

You acknowledge that third-party payment processors or financial institutions may charge additional fees (e.g., transaction fees, processing fees), which are your responsibility and are not included in TEN31’s service fees.

10. Currency

All fees are charged and payable in [CAD/USD – specify], unless otherwise agreed in writing.

11. No Set-Off

You may not withhold, deduct, or set off any amounts owed to TEN31 against any claims or disputes without TEN31’s prior written consent.
